Beginning 12.00 am Eastern Time (ET) on 25th October, 2005, visit www.adhdbalance.net and follow the onscreen instructions to submit your entry. Entries must be received by 12.00 am (ET) on March 1st, 2006. There is a limit of one entry per person.
ELIGIBILITY:
This promotion is open only to legal residents of the 48 contiguous United States, excluding Rhode Island, who are 18 years of age or older at time of entry. Employees of Cephalon, Inc., Sudler & Hennessey, their affiliates, subsidiaries, and advertising and promotion agencies and their immediate family members and/or those persons living in the same household of each are not eligible. By entering this promotion, you are hereby representing and warranting that you meet these eligibility requirements and that your participation in this promotion is permissible under the laws of your state and locality. RANDOM DRAWING:
A random drawing from among all eligible entries received will be conducted on or about March 3rd, 2006 by Aptinet Inc., an independent judging organization whose decisions are final on all matters relating to this promotion. Odds of winning will depend upon the number of eligible entries received.
PRIZES & APPROXIMATE RETAIL VALUES:
Five (5) prizes with a total approximate retail value (ARV) of $5,000 will be awarded as follows: (1) Grand Prize: one (AVR) $4,000 scholarship to an ADHD summer camp. (2) Second prizes: Four (4) (AVR) $250 scholarships to after school activities and programs.
GENERAL RULES:
Potential Grand Prize winner must sign and return an Affidavit of Eligibility, Release of Liability and, where legally permissible, a Publicity Release within 30 days of attempted notification at the address supplied by the entrant. Non-compliance within this time period or return of any prize or prize notification as undeliverable from the address supplied by the entrant will result in disqualification and an alternate potential Grand Prize winner may be selected. Winners are not permitted to substitute or transfer prizes. Sponsor reserves the right to substitute a prize of equal or greater value at its sole discretion. All federal, state and local taxes are the sole responsibility of winners. By accepting prizes, winners agree to hold Sponsor, its respective directors, officers, employees, assigns, and agencies harmless against any and all claims and liability arising out of use of any prize. Winners assume all liability for any injury or damage caused, or claimed to be caused, use or redemption of any prize. Acceptance of prize constitutes permission to Sponsor and its agencies to use winners' names and/or likenesses for purposes of advertising and trade without further compensation, unless prohibited by law. All material submitted becomes the sole property of Sponsor and will not be returned. By participating in this promotion, entrants agree to be bound by the Official Rules and the decisions of the judging agency. You hereby agree that Sponsor is not responsible for faulty, incorrect or mistranscribed phone transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind, including any injury or damage to any person's computer, related to or resulting from participating in or experiencing any materials in connection with this promotion, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user's ability to participate in this promotion. In the event of termination, Sponsor reserves the right to conduct the drawing from among all eligible entries received prior to termination. In the event a dispute arises regarding a specific individual entitled to receive a prize, the entry made via the Internet will be declared made by the "primary authorized email account holder" and any damage made to the Web Site also will be the responsibility of the primary authorized e-mail account holder of the e-mail address submitted at the time of entry. "Primary authorized e-mail account holder" is defined as the adult natural person who is primarily assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A participant may be requested to provide Sponsor with proof that the participant is the primary authorized email account holder of the e-mail address associated with the account. Proof of submitting an entry will not be deemed to be proof of receipt by Sponsor. Any use of robotic, automatic, programmed or the like methods of participation will void all such submissions by such methods. Sponsor reserves the right to freeze or close an account or to prohibit the participation of an individual or primary authorized email account holder if fraud or tampering is suspected, or if the individual or primary authorized email account holder fails to comply with any requirement of participation as stated herein or with any provision of these Official Rules.
Dispute Resolution.
You and Sponsor agree that any Dispute between you and Sponsor will be resolved exclusively and finally by arbitration administered by the National Arbitration Forum ("NAF") and conducted under its rules, except as otherwise provided below. You and Sponsor will agree on another arbitration forum if the NAF ceases operations. The arbitration will be conducted before a single arbitrator, and will be limited solely to the Dispute between you and Sponsor. The arbitration, or any portion of it, will not be consolidated with any other arbitration and will not be conducted on a class-wide or class action basis. The arbitration shall be held at a reasonable location in Delaware. If you prevail in the arbitration of any Dispute with Sponsor, Sponsor will reimburse you for any fees you paid to the NAF in connection with the arbitration. Any decision rendered in such arbitration proceedings will be final and binding on the parties, and judgment may be entered thereon in any court of competent jurisdiction. Should either party bring a Dispute in a forum other than the NAF, the arbitrator may award the other party its reasonable costs and expenses, including attorneys' fees, incurred in staying or dismissing such other proceedings or in otherwise enforcing compliance with this dispute resolution provision. You understand that, in the absence of this provision, you would have had a right to litigate disputes through a court, including the right to litigate claims on a class-wide or class action basis, and that you have expressly and knowingly waived those rights and agreed to resolve any Disputes through binding arbitration in accordance with the provisions of this paragraph. This arbitration provision shall be governed by the Federal Arbitration Act, 9 U.S.C. Section 1, et seq. For the purposes of this provision, the term "Dispute" means any dispute, controversy, or claim arising out of or relating to (i) this agreement, its interpretation, or the breach, termination, applicability or validity thereof, (ii) the related order for, purchase, delivery, receipt or use of any product or service from Sponsor, or iii) any other dispute arising out of or relating to the relationship between you and Sponsor. For the purposes of this provision, the term "Sponsor" means Cephalon, Inc., its parent, subsidiaries, affiliates, directors, officers, employees, beneficiaries, agents, assigns, component suppliers (both hardware and software), and/or any third party who provides products or services purchased from or distributed by Sponsor. Your entry into this promotion is proof of your assent to these rules.
